Separate terms and conditions may apply to ArtsDAO platform access, memberships, payments, Clubhouse access, House Rules, events, experiences, renewals, and other paid or member-only services. These Website Terms constitute a legally binding agreement between you and the applicable ArtsDAO Entity, as defined below.

“Clubhouse” means any physical ArtsDAO premises, private members’ club, restaurant, coworking space, lounge, event space, or other physical location operated, licensed, managed, or made available under or in connection with the ArtsDAO brand.
“Digital Services” means any digital community features, member portals, ArtsDAO Circle features, directories, chat groups, online dashboards, application forms, newsletters, event registration tools, or other online services made available by or through ArtsDAO.
“House Rules” means the rules, policies, codes of conduct, access requirements, guest rules, age restrictions, privacy rules, photography rules, dress codes, and other standards applicable to any Clubhouse or ArtsDAO physical premises.
“Member” means a person whose membership application has been approved by ArtsDAO and who has satisfied all applicable membership requirements.
“Membership Terms” means any separate terms and conditions, membership agreement, application terms, invoice terms, payment terms, renewal terms, House Rules, or other rules applicable to ArtsDAO memberships.
“Platform Terms” means any separate terms and conditions applicable to access to ArtsDAO’s digital platform, ArtsDAO Circle, member portal, or other member-only digital products.
“Website” means www.artsdao.io and any related webpages, subdomains, landing pages, forms, digital interfaces, or online services operated or made available by ArtsDAO.
“You” or “your” means any person accessing or using the Website.
The Website is operated by the applicable ArtsDAO Entity responsible for the relevant Website feature, service, application flow, digital interface, event page, or Clubhouse-related information at the time of use.
The ArtsDAO Entity may be MAISON ARTSDAO RESTAURANT L.L.C, Trade Licence No. 1541230, its affiliates, associated companies, subsidiaries, successors, assigns, designated operators, or authorised third-party licensees.
You acknowledge that the ArtsDAO ecosystem may comprise multiple independent legal entities, business lines, locations, event organisers, operators, partners, licensors, service providers, and affiliates.
Your contractual relationship in respect of the Website is only with the specific ArtsDAO Entity operating or responsible for the relevant Website feature or service at the time of your use.

The Website may allow you to apply for ArtsDAO membership, express interest in joining the ArtsDAO community, join a waitlist, submit information, book an introductory call, subscribe to updates, or access general information about ArtsDAO memberships, the ArtsDAO platform, the Clubhouse, events, experiences, and related services.
The Website itself does not grant membership rights, platform access rights, Clubhouse access rights, event rights, renewal rights, refund rights, guest rights, or any other paid service rights unless expressly confirmed under separate terms accepted by you.
ArtsDAO platform access, ArtsDAO Circle access, paid memberships, Clubhouse access, House Rules, member benefits, renewals, cancellations, refunds, event access, guest access, conduct rules, payment terms, and any other paid or member-only services are governed by separate terms and conditions, membership terms, platform terms, House Rules, payment terms, event terms, or other agreements presented to you at the relevant point of application, checkout, payment, onboarding, renewal, or access.

If Digital Services include a member directory or member profile feature, you acknowledge that information displayed may be provided by members themselves and may not be independently verified by ArtsDAO.

Access to any Clubhouse is not governed solely by these Website Terms and is subject to the applicable Membership Terms, House Rules, operating policies, capacity limits, identity checks, guest policies, age restrictions, reservations, and staff discretion.
Descriptions, images, opening dates, facilities, layouts, designs, services, spaces, menus, amenities, benefits, and operating hours displayed on the Website are indicative only.

Where an experience involves travel, accommodation, transport, visas, tickets, venues, restaurants, third-party operators, or external suppliers, ArtsDAO is not responsible for third-party acts, omissions, delays, cancellations, losses, injuries, service failures, or additional costs, except to the extent required by applicable law.
You are responsible for ensuring that you hold all necessary travel documents, visas, insurance, permissions, and approvals.
You acknowledge that attendance at events, physical premises, trips, and community activities may involve inherent risks, including travel risks, health risks, crowd risks, personal property risks, and risks associated with interaction with other attendees.
You attend and participate at your own risk, subject to applicable law.

To the maximum extent permitted by applicable law, ArtsDAO’s total aggregate liability arising out of or in connection with the Website, these Website Terms, or any Website-related service shall not exceed the greater of:
a. USD 100; or
b. the amount paid by you directly to ArtsDAO for access to the relevant Website-related service in the three months preceding the event giving rise to the claim.
Nothing in these Website Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law.
You agree to indemnify, defend, and hold harmless ArtsDAO, the ArtsDAO Entities, their affiliates, directors, officers, employees, contractors, licensors, partners, service providers, and representatives from and against any claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or in connection with:
a. your breach of these Website Terms;

e. continued access would be inconsistent with ArtsDAO’s community standards or policies.
Termination or suspension of Website access does not necessarily terminate any separate Membership Terms, Platform Terms, payment terms, event terms, or House Rules unless stated in those terms or determined by ArtsDAO in accordance with applicable rules.

Your continued use of the Website after updated Website Terms are posted constitutes your acceptance of the updated Website Terms.

You may not assign or transfer your rights or obligations under these Website Terms without ArtsDAO’s prior written approval.
If any provision of these Website Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed or interpreted to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Failure by ArtsDAO to enforce any provision of these Website Terms shall not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by ArtsDAO.
These Website Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and ArtsDAO in relation to your access to and use of the Website.
These Website Terms do not govern, and are separate from, any ArtsDAO platform terms, membership terms, House Rules, payment terms, event terms, partner terms, invoice terms, smart contract terms, or other written agreements that may apply to specific memberships, paid services, platform access, Clubhouse access, events, experiences, renewals, or transactions.
Where separate terms are presented and accepted by you in relation to any such service, those separate terms shall govern that specific service and shall prevail over these Website Terms to the extent of any conflict.
These Website Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre.
Any dispute, controversy, difference, or claim arising out of or in connection with these Website Terms, including any question regarding their existence, validity, interpretation, performance, breach, termination, or any non-contractual obligations arising out of or in connection with them, shall be referred to and finally resolved by arbitration.
The arbitration shall be administered by the Dubai International Arbitration Centre under the DIAC Arbitration Rules in force at the time of commencement of the arbitration.
The seat of arbitration shall be the Dubai International Financial Centre.
The language of the arbitration shall be English.
The tribunal shall consist of one arbitrator, unless ArtsDAO determines that the nature, value, or complexity of the dispute requires three arbitrators.
The arbitral award shall be final and binding on the parties.
To the fullest extent permitted by applicable law, each party irrevocably waives any right of appeal, challenge, review, set-aside, annulment, or other recourse to any court or judicial authority in respect of the arbitral award.
Nothing in this clause shall prevent a party from applying to the DIFC Courts for the recognition, enforcement, or execution of an arbitral award, or for interim, conservatory, or urgent relief in support of arbitration where such relief cannot validly be excluded under applicable law.
Except for applications relating to interim relief, conservatory relief, recognition, enforcement, execution of an arbitral award, or any matter that cannot lawfully be excluded, the parties agree that disputes shall be resolved exclusively by arbitration and not by court proceedings.
